Overview
The parties to merger and acquisition transactions regularly seek assistance from professional advisors to complete the transaction. This outside expertise can include business valuation analysis and pricing, due diligence investigations, post acquisition reviews and adjustments, purchase price adjustments and allocations, representation and warrantee reviews and adjustments and closing adjustment calculations.
CHS has been involved in many merger and acquisition transactions. Our most common involvement includes the assessment of losses and or purchase price adjustments due to misrepresentations, inadequate disclosure, insurance claims, timing adjustments and related litigation. Our analysis often results in price adjustments, including interest where applicable. In matters that involve post acquisition litigation we produce an expert’s report as well as appearing at legal proceedings to provide expert testimony. We also often assist in assessing the reasonableness of competing expert reports.
