Shareholder and Partnership Disputes
Overview
Unresolved disagreements among the shareholders or partners in a business may necessitate the buy-out of a business owner’s interest. Often, a third-party valuation is required to assist the business owners in determining a fair price to pay for the departing shareholder/partner’s interest. Such a valuation may be undertaken pursuant to the terms of a shareholders’ agreement, a Judicial Order, or other previously agreed upon terms among the parties.
CHS has been engaged on many matters involving shareholder and partnership disputes. These matters have included joint retainers on behalf of all parties, review of opposing expert reports, and advisory services relating to appropriate valuation metrics or transaction structuring. Many of these matters have required us to allocate value among multiple share classes with different rights and restrictions and to consider the appropriateness of applying discounts for minority interests or other factors.
